1. Parties & Scope
These Terms and Conditions (“Terms”) govern your use of Gravitate (the “Service” or “App”), an AI-powered SEO optimization application for Shopify merchants, provided by Car Tech Studio Ltd (“Gravitate,” “we,” “us,” “our”).

By installing, accessing, or using the Service, you (“you,” “Merchant,” “User”) agree to be bound by these Terms. If you do not agree, do not use the Service.
These Terms apply on a per-Shopify-store basis. Each connected store requires a separate installation and is subject to these Terms independently.
2. Service Description
Gravitate provides AI-powered SEO optimization services for Shopify stores, including:
- Product & Collection Optimization: AI-generated SEO metadata (titles, descriptions, meta tags) for products, collections, and pages
- Blog Post Generation: AI-generated blog posts published as drafts to your Shopify store for topical authority and content marketing
- Google Search Console Integration: Optional connection to track performance metrics (clicks, impressions, CTR, position) for optimized pages
- Real-time Sync: Automatic synchronization of product and collection data via Shopify webhooks
- Performance Analytics: Performance tracking and reporting for SEO improvements
The Service uses AI models provided by trusted third parties (OpenAI, Anthropic, Google Gemini, Perplexity) via OpenRouter to generate SEO suggestions. All AI-generated content is presented for your review and approval before being applied to your Shopify store.
3. Account & License
3.1 Account Requirements
To use the Service, you must:
- Be at least 18 years old
- Be a Shopify merchant with an active Shopify store
- Create a Gravitate account using a valid email address
- Have authority to bind your business to these Terms
- Comply with all applicable laws and regulations
3.2 License Grant
Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable, revocable, limited license to access and use the Service for your internal business purposes in connection with your Shopify store(s).
3.3 License Restrictions
You may not:
- Reverse engineer, decompile, or disassemble the Service
- Copy, modify, distribute, or create derivative works of the Service
- Share your account credentials with third parties
- Use the Service to violate any law, regulation, or third-party right
- Use the Service in any manner that could damage, disable, or impair our systems
- Attempt to bypass Shopify’s checkout or payment systems
- Use the Service to send spam or unsolicited communications
- Sublicense, resell, or rent access to the Service
- Remove or alter any proprietary notices on the Service
3.4 Platform Dependence
The Service depends on Shopify’s APIs and infrastructure. Features may change, be modified, or become unavailable as Shopify updates API versions or deprecates functionality. We will make reasonable efforts to maintain compatibility with Shopify’s supported API versions (currently 2025-01) but cannot guarantee uninterrupted availability of all features.
4. Shopify Platform Compliance
4.1 Platform Rules
You and we must comply with:
- Shopify’s Partner Program Agreement
- Shopify’s API License & Terms of Use
- Shopify’s Acceptable Use Policy
- Shopify App Store Requirements
- All applicable Shopify policies and guidelines
Failure to comply may result in suspension or termination of the Service.
4.2 Shopify Access Scopes
The Service requires the following Shopify permissions (scopes):
read_products,write_products– to read and update product SEO metadataread_product_listings,write_product_listings– to access product listingsread_product_feeds,write_product_feeds– to manage product feedsread_online_store_pages,write_online_store_pages– to optimize online store pages and blog contentread_orders– requested for app operations; we do not process or retain buyer/customer PII
These scopes are necessary for the Service to function. We use the minimum permissions required and follow Shopify’s data protection requirements.
4.3 Branding & Trademarks
- We do not imply Shopify endorsement of the Service
- We follow Shopify’s trademark and brand guidelines
- “Shopify” is a trademark of Shopify Inc. and is used here for identification purposes only
5. Pricing, Billing & Credits
5.1 Billing Model
Gravitate offers flexible billing options:
- Credit-based purchases: One-time purchases of credit packages for pay-as-you-go usage
- Subscription plans: Recurring subscription plans with included credits and features
- Credits are consumed when you use AI-powered features (SEO optimization, blog post generation)
- Credit consumption varies based on the type and complexity of the operation
5.2 Billing via Shopify
All charges are processed through the Shopify Billing API and appear on your Shopify invoice. We do not process payments outside Shopify’s platform or handle credit card information directly.
5.3 Pricing
Current pricing plans, credit packages, and subscription options are displayed:
- In the Gravitate app dashboard
- On our website at usegravitate.com
- In the Shopify App Store listing
Pricing is subject to change with 30 days’ notice to active users. Purchased credits and active subscriptions will be honored at the rate you agreed to at the time of purchase.
5.4 Payment & Taxes
- Payments are processed in USD via Shopify
- You are responsible for all applicable taxes (sales tax, VAT, GST) based on your jurisdiction
- Shopify may collect and remit taxes on our behalf where required
- You must provide accurate billing information
5.5 Refunds & Cancellations
- Purchased credits: Non-refundable once the Shopify charge is confirmed, except as required by law or at our sole discretion for service failures
- Unused credits: Do not expire but become non-refundable 24 hours after purchase
- Subscriptions: You may cancel your subscription at any time from within the Gravitate app or your Shopify billing settings. Cancellation takes effect at the end of the current billing period. No refunds for partial billing periods unless required by law.
- Service issues: If the Service fails to deliver AI-generated suggestions due to our error, we will refund or re-credit the affected credits
- Chargebacks: Initiating a chargeback may result in immediate account suspension
5.6 Credit Consumption
Credits are deducted when:
- An AI optimization request is successfully completed and results are returned
- A blog post generation job is completed and published as a draft to Shopify
Credits are not deducted for:
- Failed optimization requests due to service errors
- Rejected or edited suggestions before application to Shopify
- Previewing or browsing unoptimized items
5.7 Managing Billing
You can manage billing at any time:
- View credit balance and transaction history in your Gravitate dashboard
- Initiate credit top-ups through the in-app purchase dialog
- Approve Shopify charges through the standard Shopify billing approval flow

6. Data, Privacy & Security
6.1 Data Processing
We process the following data to provide the Service:
- Merchant Data: Your account email, user ID, Shopify shop domain, and shop profile
- Store Data: Product and collection data (titles, descriptions, handles, images, SEO fields), online store pages, product feeds
- Google Search Console Data (optional): Site verification, page-level metrics (clicks, impressions, CTR, position)
- Analytics Data: Usage analytics via PostHog (events, session replay, heatmaps) to improve the Service
- Order Data: We request
read_ordersscope but do not process, store, or use buyer/customer PII
6.2 Customer Data
- We do not process buyer/customer personally identifiable information (PII)
- Although we request
read_ordersscope, we do not ingest or use buyer data in our AI models, analytics, or storage - Customer data remains in your Shopify store and is not transmitted to our AI providers
6.3 AI Processing
- AI-generated content is created using OpenRouter, which routes requests exclusively to: OpenAI, Anthropic, Google Gemini, and Perplexity
- We do not use China-based model providers
- We do not opt in to prompt logging on OpenRouter
- AI providers process only the store/product data necessary to generate SEO suggestions (no buyer PII)
6.4 Privacy Policy & DPA
Our data practices are detailed in our Privacy Policy (available at https://app.usegravitate.com/privacy-policy). By using the Service, you also agree to our Privacy Policy.

6.5 GDPR Compliance
We subscribe to and honor Shopify’s mandatory GDPR webhooks:
customers/data_request: We assist with access requests (we do not store customer PII)customers/redact: We delete customer data if any is stored (currently not applicable)shop/redact: We delete all shop-scoped data immediately upon uninstall
We respond to data subject requests within 30 days as required by GDPR and other privacy laws.
6.6 Data Retention
- Active stores: Data is retained while your Shopify store remains connected
- Upon uninstall: We delete shop-scoped data (Shopify credentials, GSC connections, cached store data, suggestions, and blog posts) immediately upon uninstall
- Backups: Minimal operational records may persist in backups for 7-30 days depending on our hosting provider’s retention policies, after which they are permanently deleted
- Logs: Platform logs are retained per our hosting provider’s plan (typically 1-3 months)
6.7 Security Measures
We implement industry-standard security measures:
- TLS/SSL encryption for all data in transit
- Encryption at rest via Supabase-managed infrastructure (hosted in EU, eu-central-1 region)
- OAuth authentication for Shopify and Google integrations
- Secrets management via Supabase Vault (encrypted storage for access tokens)
- HMAC verification for Shopify webhooks and OAuth callbacks
- Rate limiting and monitoring to prevent abuse
- Least-privilege access controls for our systems
- Session replay privacy: Sensitive inputs are masked by default in analytics
6.8 Data Breach Notification
In the event of a data breach affecting your data, we will notify you without undue delay and within 72 hours where legally required.
6.9 International Data Transfers
- Primary hosting: Supabase EU (eu-central-1, Germany)
- Third-party processors: Some processing involves transfers to the US and other jurisdictions (Shopify, Google, PostHog, OpenRouter)
- Transfer mechanisms: We rely on Standard Contractual Clauses (SCCs), Data Privacy Framework (DPF), and other lawful mechanisms provided by our processors
7. Service Levels & Support
7.1 Support Channels
We provide support via:
- Email: hello@usegravitate.com (monitored during UK business hours, Monday-Friday, 9:00-17:00 GMT)
- In-app help: Documentation and guides available within the app
We aim to respond to support inquiries within 48 business hours. Critical issues (service outages, billing errors) will be prioritized.
7.2 Service Availability
While we strive for high availability, we do not guarantee uninterrupted access to the Service. Planned maintenance will be communicated in advance when possible. We are not liable for downtime caused by third-party services (Shopify, Supabase, OpenRouter, n8n, Google).
7.3 No Service Level Agreement (SLA)
Unless otherwise agreed in writing, we do not provide formal uptime guarantees or SLA commitments.
8. Acceptable Use
You agree not to:
- Violate any applicable laws, regulations, or third-party rights
- Use the Service for fraudulent, harmful, or illegal purposes
- Send spam, unsolicited messages, or automated bulk communications through the Service
- Attempt to gain unauthorized access to the Service, other accounts, or connected systems
- Interfere with or disrupt the integrity or performance of the Service
- Use the Service to bypass, circumvent, or manipulate Shopify’s checkout or payment systems
- Scrape, crawl, or use automated tools to extract data from the Service without permission
- Impersonate others or provide false information
- Upload or transmit viruses, malware, or malicious code
- Violate Shopify’s Acceptable Use Policy or App Store requirements
- Use the Service in a manner that violates our intellectual property or that of third parties
Violation of this section may result in immediate suspension or termination of your account.
9. Third-Party Services
The Service integrates with third-party services:
- Shopify (store management and billing)
- Google Search Console (optional, performance metrics)
- Supabase (hosting, database, authentication)
- OpenRouter (AI model routing to OpenAI, Anthropic, Google Gemini, Perplexity)
- n8n Cloud EU (workflow automation)
- PostHog (analytics)
We are not responsible for the availability, performance, or policies of these third-party services. Your use of these services may be subject to their respective terms and privacy policies.
If a third-party service becomes unavailable or changes its terms, we may modify or discontinue related features.
10. Intellectual Property & Feedback
10.1 Our IP
The Service, including all software, text, graphics, logos, and other materials, is owned by Car Tech Studio Ltd or our licensors and is protected by copyright, trademark, and other intellectual property laws.
You do not acquire any ownership rights by using the Service.
10.2 Your Content
You retain all ownership rights to your store data, product content, and other materials you provide to the Service (“Your Content”).
By using the Service, you grant us a limited, non-exclusive, worldwide, royalty-free license to:
- Host, store, and process Your Content to provide the Service
- Use Your Content to generate AI-powered SEO suggestions
- Display Your Content back to you within the Service
This license terminates when you uninstall the app, except for content retained in backups during their retention period.
10.3 AI-Generated Content
AI-generated suggestions (titles, descriptions, blog posts) are provided “as is” for your review. You are responsible for reviewing, editing, and approving all AI-generated content before publishing to your Shopify store.
Once you approve and publish AI-generated content to your store, it becomes part of Your Content under your ownership.
10.4 Feedback
If you provide feedback, suggestions, or ideas about the Service, we may use them without obligation or compensation to you. You grant us a perpetual, irrevocable, royalty-free license to use, modify, and incorporate your feedback into the Service.
11. Changes to the Service & Terms
11.1 Service Changes
We may modify, update, or discontinue features of the Service at any time to:
- Maintain compatibility with Shopify API versions
- Improve security, performance, or functionality
- Comply with legal or regulatory requirements
- Respond to third-party service changes
We will provide reasonable notice of material changes that negatively affect core functionality, typically 30 days via email or in-app notification.
11.2 Changes to Terms
We may update these Terms from time to time. If we make material changes, we will:
- Update the “Last updated” date at the top
- Notify you via email (to the address associated with your account) and/or through the Service
- Provide at least 30 days’ notice before the changes take effect for material changes affecting pricing or core functionality
Continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service and uninstall the app.
11.3 API Version Updates
As Shopify deprecates API versions, we will migrate to supported versions. This may require changes to features or data access. We will use supported API versions only and notify you of significant changes.
12. Termination
12.1 Termination by You
You may terminate your use of the Service at any time by:
- Uninstalling the Gravitate app from your Shopify admin, or
- Contacting us at hello@usegravitate.com to request account deletion
Upon uninstall, we will trigger the shop/redact webhook and delete your shop-scoped data immediately (subject to backup retention periods).
12.2 Termination by Us
We may suspend or terminate your access to the Service immediately if:
- You breach these Terms or Shopify’s policies
- Your account is involved in fraudulent, illegal, or harmful activity
- You initiate a chargeback for valid charges
- We are required to do so by law or Shopify
- We discontinue the Service (with 30 days’ notice if commercially reasonable)
12.3 Effect of Termination
Upon termination:
- Your license to use the Service ends immediately
- We will delete your shop-scoped data as described in Section 6.6 (Data Retention)
- Purchased credits are forfeited (no refunds except as required by law)
- You remain responsible for all charges incurred before termination
- Sections that by their nature should survive (including Sections 6, 10, 13, 14, 15) will continue to apply
12.4 Data Export
Before terminating, you may export your data:
- AI-generated suggestions can be downloaded or copied from the app interface
- Applied SEO changes remain on your Shopify store (part of your store data)
- We do not provide bulk data exports; contact us if you need assistance
13. Disclaimers & Limitation of Liability
13.1 No Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability, fitness for a particular purpose, or non-infringement
- Warranties that the Service will be uninterrupted, error-free, secure, or free of viruses
- Warranties regarding the accuracy, reliability, or quality of AI-generated content
We do not guarantee:
- Specific SEO rankings, traffic increases, or business results
- That AI-generated suggestions will be error-free or suitable for your business
- Compatibility with all Shopify themes, apps, or customizations
- Continuous availability of third-party services (Shopify, OpenRouter, etc.)
You are responsible for reviewing and approving all AI-generated content before publishing to your store.
13.2 Limitation of Liability
We shall not be liable for:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, goodwill, or business opportunities
- Service interruptions or unavailability
- Third-party service failures (Shopify, OpenRouter, Supabase, Google, etc.)
- Unauthorized access to your account or data due to your failure to secure credentials
- Errors or inaccuracies in AI-generated content
- SEO ranking decreases or lack of traffic improvement
This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability) and even if we have been advised of the possibility of such damages.
13.3 Exceptions
Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
14. Indemnification
You agree to indemnify, defend, and hold harmless Car Tech Studio Ltd, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to:
- Your use or misuse of the Service
- Your violation of these Terms
- Your violation of any law, regulation, or third-party right
- Your Content or any content you publish to your Shopify store (including AI-generated content you approve)
- Any dispute between you and your customers or third parties
We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, at your expense.
15. Governing Law & Dispute Resolution
15.1 Governing Law
These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.
15.2 Jurisdiction
Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
15.3 Informal Resolution
Before filing a legal claim, you agree to contact us at hello@usegravitate.com to attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith within 30 days.
16. Miscellaneous
16.1 Entire Agreement
These Terms, together with our Privacy Policy and any additional agreements you enter into with us, constitute the entire agreement between you and Car Tech Studio Ltd regarding the Service and supersede all prior agreements and understandings.
16.2 Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms or our rights and obligations to an affiliate or in connection with a merger, acquisition, or sale of assets, with notice to you.
16.3 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.
16.4 Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by us.
16.5 Force Majeure
We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, pandemics, internet failures, third-party service outages, or government actions.
16.6 Notices
Notices to you may be sent to the email address associated with your account or displayed in the Service. You agree that electronic delivery constitutes valid notice.

16.7 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights except as expressly stated.

These Terms do not create a partnership, joint venture, employment, or agency relationship between you and Car Tech Studio Ltd.
16.9 Language
These Terms are written in English. Any translations are provided for convenience only. In case of conflict, the English version prevails.
